Benefit Corporation vs B Corp
Interlogica is a Benefit Corporation, a legally recognized corporate structure in Italy. This designation is documented in our corporate charter, where our commitments to Community, People, Environment, and Clients are explicitly defined. In addition to standard financial reporting procedures, we are also mandated to submit an Impact Report.
On the other hand, B Corp certification is granted by B Lab to companies that successfully pass the B Impact Assessment (BIA). This certification recognizes businesses that go beyond just generating profit and also foster a positive impact on the environment and society. Their commitment to operating responsibly, sustainably, and transparently, while considering the well-being of all stakeholders, contributes to the greater good.
Interlogica is taking steps towards this direction.
How to reconcile the dual mission of pursuing profit and creating benefits?
In order to achieve positive outcomes, an organization must also attain profitability.
When direct profitability is not viable, profits are obtained from projects that create beneficial outcomes. With our clients, we have chosen to establish an interdependence agreement, where both parties are fully committed to generating positive effects.
When such agreements cannot be reached, our commitment remains unwavering: to be attentive to the impact we create. In such cases, we allocate a portion of the profits from other endeavors towards the creation of beneficial outcomes through our projects.
As long as a company is committed to creating social benefits, there is no risk of conflict between the two. It is crucial to bear in mind that a Benefit Corporation is, in essence, still a for-profit entity and not a nonprofit organization.
What corporate governance changes are required to become a Benefit Corporation?
Becoming a Benefit Corporation entails the necessity of striking a balance between profit-seeking and working towards the common good. It also involves embracing responsible, sustainable, and transparent practices that consider the interests of all stakeholders.
The cornerstone concept of the Benefit Society lies in enhancing Stakeholder involvement in governance and taking into account the effects of corporate activities on Stakeholders and the environment.
Furthermore, we have already designated an internal Impact Manager who will be accountable for reporting, enhancing, and implementing social impact objectives, as well as identifying monitoring methods and criteria.
What does the Impact and Sustainability Report entail, and what purpose does it serve?
In 2023, we will be producing and publishing our first Impact Report. This Report will highlight all the projects and activities that have made a positive impact in the past year.
It is linked to our Corporate bylaws and the commitments we uphold.
These goals revolve around the clarity and transparency of our company’s operations, showcasing the way we conduct our business.

In a Benefit Corporation, how do Shareholders' duties/responsibilities undergo a transformation?
Certainly, there are additional responsibilities, as a Benefit Society must prioritize the well-being of all Stakeholders, not solely Shareholders.
The paradigm is shifting from a profit-centric model to one in which profit becomes a conduit for achieving a greater objectiv: the creation of social value.
Shareholders are accountable for contributing to the creation of benefits.
